Terms of Service

Definitions

Commission is an artwork(s) created digitally using various software according to the order of the client and are listed at a set price or under an agreement between the client and artist.Art Request is an artwork(s) piece that was not paid for (free) or specially ordered by a client, and is less formal. It is a part of membership benefits. These could be used as part of an art raffle, giveaway, trade, art gift, or promotion to assist the artist in portfolio building. These are not the same as commissions.Art Raffle is where participants enter a drawing for a chance to win a free art piece.Art giveaway is free art as a promotion or gift.Commission for Personal Use is the commissioned artwork(s) that will be for personal consumption of the client and NOT TO BE USED FOR COMMERCIAL OR FOR MONETIZED PURPOSES, such as selling or helping sell products and other related actions.Commission for Monetized Content Use is the commissioned artwork(s) that will be used for content creators and businesses who want to use the commissioned artwork(s) as part of creating and distributing commercial and monetized digital content (e.g., use with redemptions, memberships, etc).Commission for Commercial Use is the commissioned artwork(s) that will be used for commercial and for-profit purposes, such as creating, promoting, and reselling their own digital or physical end products made with the commissioned artwork(s) (e.g., merchandise).Commission Queue is the list of all commissions in order of payment, prioritizing those who paid first and those who paid for a rush service fee.Client is the person(s) or organization(s) requesting and paying the artist to create a commissioned art piece(s). Or are the person(s) of an art raffle as a winner, a membership member redeeming an art request benefit, or a shop artwork(s) purchaser.Artist is PHNXroze (aka PHNXrose, PHNXrose_VT, Roze), the person creating the commissioned artwork for the client.OC means “original concept” or “original character”WIPs means work(s) in progress

General Commission TOS

♥ These Terms of Service (TOS) may be subject to change at any time without notice. Changes will be applied retroactively.♥ Breach of any of the following TOS will result in a NO REFUND POLICY for any payment invoiced and received by the client and from the artist, and will result in a NO SERVICE RENDERED for any work finished and not submitted by the artist to the client.♥ The artist reserves the right to refuse a commission request for any reason♥ The artist does NOT have to fully disclose the reason to the client as long as the commission has not been started, especially if such commission and/or client has made the artist feel uncomfortable or unsafe.♥ Commissions containing copyrighted characters (e.g., fan art from anime/games/etc) will be used under the discretion of the client. The artist will NOT be liable for actions taken against the commissioner due to copyright violations.♥ The artist reserves the right to publish the completed artwork(s) on social media, in the artist’s portfolio, and other related websites for services promotion of completed works. There are a few exceptions to this (e.g., the client has a delay reason such as pre-debut). Please ask during your commission consultation for further exceptions.♥ The artist will NEVER accept NSFW commission requests. Please do NOT request NSFW commissions, as such commission requests will be REFUSED and REJECTED and result in REFUNDING your commission request.♥ Failing to comply with the following list will result in legal action taken against those who fail to abide by the following:
• DO NOT run any artwork(s) by the artist through Artificial Intelligence (AI) filters, programs, or generators.
• DO NOT use any artwork(s) by the artist as an NFT or any other cryptocurrency.
• DO NOT trace or copy any artwork(s) for any reason♥ The artist will NEVER accept the use of any artwork being made into NFT or cryptocurrency or used with AI programs.

Artificial Intelligence (AI) Policy

♥ Failing to comply with the following list will result in legal action taken against those who fail to abide by the following:
• DO NOT run any artwork(s) by the artist through AI filters, programs, or generators.
• DO NOT use any artwork(s) by the artist as an NFT or any other cryptocurrency.
• DO NOT trace or copy any artwork(s) for any reason.
• DO NOT use any artwork(s) with AI to train, 'enhance', add to, or change the artwork(s) in any form.
♥ The artist will NEVER accept the use of any artwork being made into NFT or cryptocurrency or used with AI programs. Prohibited AI programs include, but are not limited to: Grok, Ghat GPT, Sora AI, Gemini, and all other AI tools. This applies to past, present, and future artwork(s) created by the artist.

"Free to Use," Art Requests, & Shop Products TOS

♥ Credit MUST be given to the artist for artwork(s) received by the client under a credits panel on Twitch, in a BIO section on other platforms, or in a description box on YouTube, and MUST link back to the artist’s website → Phoenix Roze♥ The artist retains all commercial rights to shop designs, free to use, and art request artwork(s). Clients may use artwork(s) for personal use as long as proper credit is given to the artist. An exception is if the client has contacted the artist to purchase monetary or commercial rights for the product in question of purchase. This means that the client is NOT allowed to gain profit from the artist’s designs in any form.♥ Do not use any of the artist’s shop products for use in commission work from other artists.♥ Do not use any of the artist’s “free to use” products in commission work from other artists.♥ Do not use any of the artist’s art request artwork(s) in commission work from other artists.♥ All artwork(s) under the category “art request” follow all rules of the “free to use” shop products, this means that clients do NOT own the right to resell, trade, or raffle the art to other person(s).♥ Do not animate the artist’s artwork(s) without permission.♥ Art requests are on a first-come first first-served basis, and the artist does not have to accept an art request; therefore, do not beg if the artist rejects your request. Begging will result in your profile being blocked, reported, and put on a client blacklist, as you are NOT entitled to free artwork(s).♥ Only a maximum of two requests per person per account each month is allowed, and this does not mean that the client is safe from getting an art request denied.♥ A proper reference image MUST be provided for art requests and must be an OC piece of artwork for the artist to consider the art request.♥ Art requests are completed in the following process → Line Art, Base Color, and Minimal Shading, depending on the art request.♥ If a client has submitted an art request to the artist, the artist has accepted the request, and the client has agreed to the above TOS for this section; please copy the following and send it to the artist so the artist can begin your art request: “Roze, I have read, understood, and accepted your TOS for art requests. ( • ө • )♡ " Until the artist has received the following quote above, the artist will not start your art request.NOTE: Art Commission requests will ALWAYS take priority over art requests; turnaround times for art request deliveries to the client are unknown, as the artist completes them in her free time.

Creative Limits

♥ The artist may decline a commission if the commission requires a skill that the artist does not offer.♥ If the client allows, the artist can get help to create the client’s commission request via a subcontract of another artist, which will be subject to discussion and a new invoice with new fees to accommodate the new artwork(s), specifications, and liaisons.

Softwares in Use

Fair Use

♥ A version with a watermark of the completed commission artwork(s) may be posted via the artist’s social media, portfolio, and other promotional areas across the internet to showcase services completed.♥ If the client does not wish to have the completed commission artwork(s) posted, please make a note in the form when requesting a commission.♥ All commissions require that the client give the artist credit on the platforms on which the client uses the commissioned artwork(s).
• For crediting on social media, the client may link to the artist’s VGen profile or the corresponding handle back to the artist (e.g., crediting on Instagram♥ If the client would like to use the artwork for commercial use (including merchandise, paid for contact through third-parties for redeems, etc), an additional charge will be added for proper licensing♥ The use of logos and other branding visuals is dependent on the discussion between the client and artist during the commission consultation.

Intellectual Property Rights

♥ All artwork(s) are copyright to the artist. If any design is traced, copied, or altered in any way, legal action may be taken.♥ If the client would like a custom character designed by the artist for their commission, an additional charge may be applied based on the complexity of the design (this depends on the commission request, except for OC's commission requests).

Payments

♥ FULL PAYMENT must be paid and cleared before the artist begins working on the commissioned artwork(s).
• If you have budget restrictions or other monetary needs, please keep this in mind before requesting a commission.♥ Commission slot will be confirmed AFTER FULL PAYMENT is received and cleared.♥ See REFUNDS section for more information♥ If you have the intention of commissioning for commercial use to later be sold for the following, but not limited to: printing merchandise, promoting a store or brand, or any other related monetary-generating activities, there will be fees subject to being added to the commission values total.

Licensing Use Pricing Categories

♥ Personal Use
• Purchase price of the commissioned artwork(s).♥ Monetized license
• Artwork(s) price multiplied by experience multiplied by difficulty multiplier plus materials equals licensing price.
• Item price x experience x difficulty multiplier + materials = licensing price♥ Commercial Merchandising license
• Artwork(s) price multiplied by experience multiplied by difficulty multiplier multiplied by hours worked plus materials equals licensing price.
• Item price x experience x difficulty multiplier + materials = licensing price

Refunds

Zero Refund Accredited Policy:
♥ The client received the initial sketch.♥ The client received constant updates on the commission process.♥ The client paid but has not communicated with the artist for a month or more.♥ The client files a case for an “unshipped” item even though commissioned artwork(s) is a digital product that does NOT require shipping.♥ The commissioned item is given within the time frame of completion.♥ The client asked for revision(s) late, hence the deadline was not met.♥ The client is the reason the artist did not finish the commission on time, but the client will not receive the late work.Fifty-percent Refund Accredited Policy:
♥ When the artist did not finish the commission on time, and it has been past 30 days, the client will still receive the late work, and the client requests an accredited refund amount due to the stated reason.♥ The commission has not been started after payment, with the agreed-upon start date given to the client by the artist.♥ The client has not yet received an initial sketch.♥ The client did not receive any artwork from the artist within the time frame stated or discussed between the artist and client during the commission consultation.♥ When the client receives no communication from the artist for two months after the last update conversation.Majority & Full Refund Accredited Policy:
♥ FULL REFUNDS for commissions are NOT available.♥ An inconvenience fee will be kept.
• Pricing subject to change based on the complexity of the commission request artwork(s) and if the artist has begun the commission.♥ Refunds will be fully credited ONLY if:
• The artist refuses a commission request.
• The client had communicated before the commission started that they needed to cancel.
• The commission artwork(s) are past 60 days overdue from the deadline.

Revisions

♥ Sketch Phase
• 3 changes and revisions are free of charge♥ Line Art Phase
• 2 changes and revisions are free of charge♥ Maximum of 3 minor changes are free of charge (e.g., color, text-font, or spelling changes).♥ Once coloring and rendering have begun, changes will be charged an additional fee depending on the complexity of the requested change (e.g., change of pose, whole design) after the sketch/draft has been approved.
• Please confirm all revisions BEFORE approving the final sketch/draft.♥ As the client, please be as DETAILED as possible on what needs to be changed during revision requests.

Communication

♥ Communication will be through VGen (receiving finalized work may be through Discord or Email).♥ The artist commits to communicating throughout the process of the commission for approvals and collaboration.

Agreement Reminders

♥ As the client, and paying for your commission, you hereby agree to all of the Terms and Conditions set by the artist and must adhere to them to ensure delivery of the commission.♥ Please provide your contact details (e.g., Discord and Email) for you, the client, to receive your commissioned artwork(s).♥ Breach of any of the following will result in a NO REFUND POLICY for any payment invoiced and received by the client and NO SERVICE RENDERED for any artwork(s) finished and not submitted by the artist to the client.

Important Notes

♥ All commissions require you to give the artist credit on the platforms on which the client plans to use the commissioned artwork(s).♥ All products purchased from the artist’s shop require proper credit given on the platforms the purchaser uses them on.♥ The artist will NEVER accept NSFW commissions or art requests. Please do NOT submit requests for NSFW commissions or art requests, as they will automatically be REFUSED and result in REJECTING the art request and REFUNDING your commission request.♥ The artist will NEVER accept the use of any artwork(s) being made into NFTs of any kind and is forbidden to be used in any kind of NFT or cryptocurrency.♥ Please make sure you, the client, can be reached through the given contact information (open X, aka Twitter, DM, active email addresses, etc). If you, the client, CANNOT be reached, the commission will be put on a blacklist. The artist will make multiple attempts to contact the client before the order is placed and the client is blacklisted. If the client has any questions or other inquiries, please contact the artist at the following email → [email protected]♥ If the artist is inquired via email, please include “ATTN: PHNXcomm” in your subject line.♥ This TOS may be subject to change at any time without notice. Changes will be made retroactively.

Welcome and thank you for your support! By subscribing to a membership, you agree to the following terms and conditions. These Terms of Service are intended to provide clarity on what you can expect and what is expected of you as a member.

Overview

♥ These terms apply to membership purchased to support me directly.♥ Please note that Ko-fi is not a party to these transactions and does not handle payments, refunds, or disputes.♥ All communication regarding membership content, benefits, refunds, and issues should be directed to me at [email protected].

Membership Benefits

♥ Your membership grants you access to the benefits listed on the membership tier you selected at the time of purchase. These may include, but are not limited to:
• Exclusive content (e.g., posts, videos, downloads)
• Early access to projects or announcements
• Shoutouts or personalized messages
• Digital rewards (physical rewards coming soon)♥ All benefits are subject to change or removal at my discretion, but any significant changes will be communicated in advance where possible.

Delivery of Benefits

♥ Digital Benefits
• Most digital content will be delivered through the Ko-fi platform or emailed to the address associated with your account. Please ensure your email address is correct and notifications are enabled.♥ Physical Benefits
• Shipping is currently available only to the United States.
• You are responsible for providing an accurate and complete shipping address.
• Delivery times vary and are not guaranteed. I am not responsible for delays caused by postal services.
• Any customs duties or taxes are your responsibility.

Payment

♥ Memberships are billed on a recurring basis (monthly).♥ Payments are handled via your selected payment method at signup.
♥ If payment fails or is reversed, your access to benefits may be paused or canceled.

Refunds

♥ All membership payments are NON-REFUNDABLE♥ Membership benefits are often delivered immediately or involve digital content. I do not offer refunds for partial months, unused benefits, or accidental purchases.♥ If you have an issue with your membership or believe there is a billing error, please contact me within 7 days either via Ko-fi DM or Email → [email protected]

CANCELLATIONS

♥ You may cancel your membership at any time.♥ When you cancel:
• Your membership will remain active until the end of the current billing cycle
• You will retain access to benefits already delivered, but will lose access after the current billing cycle, and you will not receive future benefits unless you resubscribe

Disputes & Chargebacks

♥ As Ko-fi is not involved in transactions, it cannot mediate disputes, issue refunds, or handle chargebacks. If you have an issue, please reach out directly to me first.♥ Initiating a chargeback without contacting me prior may result in the cancellation of your access to all content immediately, and future eligibility may be denied.

Intellectual Property Rights

♥ All membership content is for personal use ONLY and may not be reproduced, redistributed, or used monetarily or commercially without my permission.

Changes to Terms

♥ I may update these Terms of Services occasionally to reflect changes in membership offerings or policies. I will notify members of significant updates, but continued use of your membership after updates means you accept the new terms and conditions.
